PLEASE READ THESE TERMS OF USE ("TERMS" OR "AGREEMENT") CAREFULLY BEFORE USING TRADE RC. BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE APP.

THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE, A CLASS-ACTION WAIVER, AND A JURY-TRIAL WAIVER. SEE SECTION 15.

1. Agreement and Parties

This End-User License Agreement ("Agreement") is entered into between you ("End-User" or "you") and Thomas Ray Publishing LLC ("Thomas Ray Publishing," "TRP," "we," "us," or "our"), a limited liability company organized under the laws of the State of Nevada.

This Agreement is between you and Thomas Ray Publishing only, and not with Apple Inc. ("Apple"). Thomas Ray Publishing, not Apple, is solely responsible for the Licensed Application and its content. This Agreement may not conflict with the Apple Media Services Terms and Conditions.

2. Definitions

• "App" or "Licensed Application" means the Trade RC software application, including all updates, upgrades, and associated documentation.
• "Content" means all text, graphics, images, animations, audio, video, data, code, user interface designs, and other materials included in or generated by the App, excluding User Content.
• "DM" means a direct message exchanged between two users through the App.
• "Marks" means the trademarks, service marks, trade names, logos, and trade dress associated with the App and Thomas Ray Publishing.
• "Room" means a public, semi-public, or private chat channel within the App.
• "Services" means any features, functions, or services provided through or in connection with the App.
• "Subscription" means any recurring or auto-renewable purchase that unlocks premium features of the App.
• "User Content" means any content, data, profile information, message, photo, prompt response, bio, or other material you create, submit, post, or make available through the App.

3. Description of Service

Trade RC is an 18+ dating and chat-room application that brings IRC's text-first culture forward into a modern queer-focused dating product. The App offers topic-based chat channels (with slash commands, channel modes, op and voice sigils, and moderation tools), AI-powered Room Companion characters, a profile grid ("the Floor"), daily algorithmic match suggestions, direct messaging, optional Plus and Premium subscriptions, non-consumable Companion character purchases, and consumable purchases such as Boosts and Spotlights. The App is intended for entertainment and social purposes for adults 18 years of age and older.

4. Eligibility and Age Restriction

You must be at least 18 years of age to use Trade RC. By using the App, you represent and warrant that you are at least 18 years old, you have the legal capacity to enter into this Agreement, and you are not barred from using the App under the laws of any jurisdiction that applies to you. We may verify your age at any time, including by requiring re-confirmation, and we may suspend or terminate accounts we reasonably believe to be operated by a minor.

You may not use the App if you have been previously removed by Thomas Ray Publishing, or if you are listed on any U.S. Government list of prohibited or restricted parties.

5. License Grant and Scope of Use

Thomas Ray Publishing grants you a limited, non-exclusive, non-transferable, revocable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. This license also permits use by other accounts associated with you via Family Sharing or volume purchasing programs.

This license does not allow you to use the App on any device you do not own or control, and you may not distribute or make the App available over any network where it could be used by multiple devices at the same time.

6. Intellectual Property Rights

6.1 Ownership

All rights, title, and interest in and to the App, including all Content, source code, object code, databases, functionality, software, designs, audio, video, text, photographs, graphics, animations, trade dress, visual design elements, logos, trademarks, service marks, and trade names are owned by or licensed to Thomas Ray Publishing and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States, foreign jurisdictions, and international conventions.

6.2 Trademarks and Trade Dress

"Trade RC" and "Trade Relay Chat" are common law trademarks owned by Thomas Ray Publishing LLC. The Trade RC name, the slogan "Talk first. Match later.", the Trade RC logo, and all related designs are the exclusive property of Thomas Ray Publishing LLC. Nothing in this Agreement grants you any right or license to use any Mark without prior written consent. All goodwill generated from any use of any Mark shall inure to the benefit of Thomas Ray Publishing.

The overall visual impression of the App, including its unique combination of colors, layout, typography, IRC-inspired component design, slash-command system, sigils, and look and feel ("Trade Dress"), is protected intellectual property owned by Thomas Ray Publishing. You may not imitate, copy, or create confusingly similar designs.

6.3 User Content License

You retain ownership of the User Content you create. By submitting User Content to the App, you grant Thomas Ray Publishing a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for technical reasons such as format conversion and thumbnail generation), display, distribute, and otherwise use such User Content solely for the purposes of operating, providing, and improving the App and its Services, enforcing this Agreement, and complying with legal obligations. This license terminates when you delete the relevant User Content, except where retention is required by law or for backup integrity.

You represent and warrant that (a) you own the User Content you submit or have all necessary rights to submit it, (b) the User Content does not infringe any third party's rights, and (c) the User Content complies with this Agreement and all applicable laws.

7. Acceptable Use and Conduct

You agree not to use the App in any way that:

• Violates law — violates any local, state, national, or international law, regulation, or court order
• Harasses or harms — harasses, threatens, stalks, defames, intimidates, doxxes, or harms another person; uses the App to facilitate hate, discrimination, or violence on the basis of race, ethnicity, national origin, religion, disability, sex, gender, gender identity, sexual orientation, or any other protected class
• Endangers minors — sexualizes, solicits, exploits, or attempts to contact a minor; transmits child sexual abuse material in any form
• Engages in prostitution or trafficking — solicits, offers, or facilitates commercial sexual services or human trafficking in any form
• Impersonates — impersonates any person or entity, misrepresents your age, identity, gender, or affiliation, uses the photo or likeness of another person without permission, or maintains multiple accounts to evade a block, ban, or report
• Spams or solicits — sends unsolicited commercial messages, chain messages, cryptocurrency or money-transfer requests, gift-card asks, or links to phishing or scam sites
• Posts non-consensual intimate imagery — posts nude, partially nude, or sexually explicit images of any person without that person's explicit consent
• Posts illegal content — posts content depicting illegal activity, violence, gore, or content that promotes self-harm or suicide
• Manipulates the App — uses bots, scrapers, automation, or any non-human means to access, interact with, or extract data from the App
• Reverse engineers — reverse engineers, decompiles, disassembles, or attempts to derive the source code or algorithms of the App, except to the extent permitted by mandatory applicable law
• Removes notices — removes, alters, or obscures any copyright, trademark, or other proprietary notice
• Trains AI — uses the App's content, output, or other users' content, photos, messages, or profiles to train, fine-tune, or test machine-learning or artificial-intelligence models, without express written permission from Thomas Ray Publishing
• Disrupts service — interferes with, disrupts, or attempts to gain unauthorized access to the App, its servers, or any network connected to the App; introduces malware, viruses, or other harmful code
• Collects user data — collects, scrapes, or harvests information about other users without their explicit consent
• Circumvents safety features — circumvents or attempts to circumvent blocks, bans, age restrictions, channel modes, rate limits, subscription paywalls, or moderation tools

Failure to follow these rules will result in account suspension or permanent termination at our sole discretion, and may result in legal action.

8. Reporting, Blocking, and Moderation

The App includes user-controlled safety tools and developer-operated moderation:

• Block — You can block any user at any time from their profile or via room moderation tools. A user you block can no longer message you, see your profile, or be matched with you.
• Report — You can report any user, room, or message to us using the in-app report flow. Reports include a category and an optional context note. We review every report on a reasonable timeline based on severity. Critical safety issues (threats of violence, CSAM, doxxing) are escalated immediately.
• Channel moderation — Public room owners and operators may set channel modes (+m moderated, +i invite-only, +t topic-locked, +s secret, +v voiced), enforce topics, kick or ban abusive members, and mute users in the rooms they own.
• On-device safety checks — Outgoing direct-message text and photos are screened locally on your device by on-device safety classifiers (a binary abuse-text classifier and Apple's Sensitive Content Analysis for photos, where available) before sending. None of this analysis runs on our servers; the result of the check stays on your device.
• Developer moderation — Thomas Ray Publishing may remove User Content from public surfaces, suspend accounts, ban accounts, restrict features, withhold purchases, and refuse service at our sole discretion, including without prior notice for serious violations. Because direct messages are end-to-end encrypted, we cannot read their content; moderation actions affecting DMs are based on user reports of specific messages, on the metadata we still receive (sender, recipient, timestamp), and on the on-device safety classifiers described above.

Once an account is banned for a serious violation, you may not create a new account on Trade RC. Creating a new account to evade a ban is itself a violation.

9. Feedback, Suggestions, and Beta Testing

THIS SECTION IS IMPORTANT — PLEASE READ CAREFULLY.

If you provide Thomas Ray Publishing with any feedback, suggestions, recommendations, bug reports, feature requests, beta-testing input, ideas, concepts, or other submissions related to the App (collectively, "Feedback"), whether submitted via email, the in-app Feedback form, App Store reviews, social media, beta-testing programs (including Apple TestFlight), support channels, or any other means, you hereby:

(a) Acknowledge that such Feedback is provided voluntarily and without any expectation of compensation, credit, or acknowledgment of any kind;

(b) Irrevocably assign to Thomas Ray Publishing LLC all right, title, and interest in and to such Feedback, including all intellectual property rights therein, and Thomas Ray Publishing shall be free to use, reproduce, modify, create derivative works from, distribute, and otherwise exploit such Feedback for any purpose whatsoever without restriction, attribution, or compensation;

(c) Agree that Thomas Ray Publishing is under no obligation to treat any Feedback as confidential;

(d) Represent and warrant that you have the right to provide such Feedback and that it does not infringe upon any third party's intellectual property rights;

(e) Waive any and all moral rights you may have in such Feedback to the fullest extent permitted by law; and

(f) Agree that this assignment shall survive termination of this Agreement.

You acknowledge that Thomas Ray Publishing may already be independently developing, or may independently develop, ideas, concepts, or features similar or identical to your Feedback. Nothing in this Agreement restricts Thomas Ray Publishing's right to independently develop, use, or market products or services without regard to your Feedback.

Participation in beta-testing programs (including Apple TestFlight) is voluntary and uncompensated. Beta testers receive no payment, equity, royalties, or other consideration for participation or any Feedback provided during beta testing.

10. In-App Purchases and Subscriptions

Trade RC offers optional Plus and Premium subscriptions and consumable in-app purchases (such as Boosts and Spotlights). All payments are processed by Apple through the App Store and are subject to Apple's terms and conditions.

10.1 Subscription Terms

• Payment will be charged to your Apple ID account at confirmation of purchase.
• Auto-renewal — Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
• Management and cancellation — You can manage or cancel your subscription at any time in iOS Settings → [Your Name] → Subscriptions. Cancellation takes effect at the end of the current billing period.
• Free trial — Plus and Premium subscriptions may offer a one-week free trial for eligible new subscribers. Any unused portion of a free trial is forfeited when you start a paid subscription. We rely on Apple to determine your trial eligibility.
• Price changes — Subscription prices may change. Apple will notify you before any price increase that requires your consent. Continued subscription after a price change you consented to constitutes acceptance of the new price.
• Refunds — Refund requests are handled by Apple. Contact Apple Support to request a refund. Thomas Ray Publishing does not directly process payments or refunds.

10.2 Consumable In-App Purchases

Consumable items (such as Boosts, Spotlights, and Private Album Keys) have no real-world monetary value, are non-refundable except where required by law, and expire when used. Consumable items cannot be restored across devices because they are consumed by the App at purchase.

10.2a Non-Consumable In-App Purchases (Room Companions)

Room Companion character purchases (such as Host, Sage, Juke, Keep, Prompt, HEDDA-6, and companion bundles) are non-consumable and permanently associated with your Apple ID. Once purchased, a companion can be restored on any device signed in to the same Apple ID via the Restore Purchases button.

• License scope — each companion purchase grants you a personal, non-exclusive, non-transferable license to use that companion in your Trade RC account. Companion characters are software features, not physical goods.
• AI disclosure — HEDDA-6 uses Apple's on-device Foundation Models framework to generate responses. Responses are generated entirely on your device; no data is sent to Apple or Thomas Ray Publishing for AI purposes. The phrase-based companions (Host, Dot, Sage, Juke, Prompt, Keep, and the free Mercy companion) respond from pre-authored phrase pools with no AI model invoked. Omega-1 is the exception: it uses a third-party AI service and is described in the next bullet.
• Mercy is free — the Mercy companion is built into the App at no charge and is available in every channel.
• Omega-1 (third-party AI) — Omega-1 is an optional AI companion available exclusively to active Premium subscribers. You summon it in a public chat room with the /omega command. Unlike the other companions, Omega-1's replies are generated by Anthropic's Claude AI model: when you use Omega-1, the message you type plus recent messages from that public room are sent to Anthropic to generate the reply, which is then posted publicly in the room. Before your first use, Trade RC shows a consent screen that names the AI provider and explains that your messages leave your device; Omega-1 stays unavailable until you accept. Omega-1 is a fictional AI character — it is not a person or a licensed professional, cannot provide medical, legal, financial, or other professional advice, and its responses may be inaccurate. Do not rely on Omega-1 for professional, medical, or safety decisions. See our Privacy Policy (Section 9a) for the data shared when you use Omega-1.
• Account deletion — if you delete your Trade RC account, your companion entitlements remain tied to your Apple ID and can be restored if you create a new account using the same Apple ID.
• Refunds — refund requests are handled by Apple. Contact Apple Support to request a refund.

10.3 Subscription Benefits

Plus and Premium subscriptions unlock features such as unlimited DMs, larger daily match queue, an expanded filter set, advanced channel modes, custom slash commands, and additional verification benefits. We may add, remove, or change subscription features at our discretion; we will use commercially reasonable efforts to maintain the value of an active subscription you've already purchased.

10.4 Restore Purchases

The App provides a Restore Purchases button in Settings. Use it to restore non-consumable purchases and an active subscription on a new device. Restore Purchases relies on Apple's transaction records and operates only with the Apple ID that originally made the purchase.

11. Account Termination

You may terminate this Agreement at any time by deleting your account via Settings → Account → Delete account and removing the App from all your devices. Account deletion removes your profile, messages, matches, blocks, and reports from our active systems within 30 days, subject to retention obligations described in the Privacy Policy.

We may terminate or suspend your access to the App immediately, without prior notice or liability, if you breach any provision of this Agreement, if you engage in conduct that we reasonably believe puts other users at risk, if required by law, or for any other reason at our sole discretion. Upon termination:

• Your license to use the App is immediately revoked
• You must cease all use of the App
• We may delete your User Content
• Pre-paid consumable items are forfeited
• Active subscriptions remain billable until you cancel them through Apple, but may be denied access at our discretion
• Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, limitation of liability, feedback assignment, and dispute resolution) shall survive

12. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THOMAS RAY PUBLISHING DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

THOMAS RAY PUBLISHING DOES NOT WARRANT THAT THE APP WILL FUNCTION UNINTERRUPTED, BE ERROR-FREE, OR BE FREE OF HARMFUL COMPONENTS. THOMAS RAY PUBLISHING DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION, PROFILE, OR USER CONTENT PROVIDED THROUGH THE APP.

12.1 User Conduct Disclaimer

TRADE RC IS A PLATFORM FOR PEOPLE TO MEET ONE ANOTHER. WE DO NOT CONDUCT BACKGROUND CHECKS, CRIMINAL HISTORY CHECKS, OR IDENTITY VERIFICATION BEYOND THE OPTIONAL VERIFIED-BADGE PROGRAM. WE DO NOT GUARANTEE THE IDENTITY, AGE, INTENTIONS, REPRESENTATIONS, OR CONDUCT OF ANY USER. YOU INTERACT WITH OTHER USERS AT YOUR OWN RISK.

MEETING OFFLINE. If you choose to meet another user offline, you do so at your own risk. We strongly recommend meeting in a public place, telling a friend or family member where you will be, sharing your live location with a trusted contact, and trusting your instincts. We make no representations or warranties regarding the suitability or safety of any user you may meet through the App.

THOMAS RAY PUBLISHING IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER OF THE APP, WHETHER ONLINE OR OFFLINE, AND HAS NO OBLIGATION TO MEDIATE DISPUTES BETWEEN USERS.

YOUR USE OF THE APP IS AT YOUR SOLE RISK. YOU ASSUME FULL RESPONSIBILITY FOR ALL RISK OF LOSS RESULTING FROM YOUR USE OF THE APP.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THOMAS RAY PUBLISHING, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: PERSONAL INJURY, EMOTIONAL DISTRESS, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY DAMAGES ARISING FROM THE CONDUCT OF ANY OTHER USER OF THE APP, WHETHER ONLINE OR OFFLINE.

THOMAS RAY PUBLISHING'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNTS ACTUALLY PAID BY YOU FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE, OR (II) ONE HUNDRED DOLLARS ($100.00).

THE FOREGOING LIMITATIONS SHALL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR THOMAS RAY PUBLISHING WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Thomas Ray Publishing LLC, its officers, directors, members, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to:

(a) Your use or misuse of the App;
(b) Your breach of this Agreement;
(c) Any User Content you submit or make available through the App;
(d) Your interaction with another user, online or offline;
(e) Your violation of any third-party rights, including intellectual property rights and the rights of other users;
(f) Your violation of any applicable law, rule, or regulation; or
(g) Any claim that your use of the App caused damage to a third party.

Thomas Ray Publishing reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Thomas Ray Publishing.

This indemnification obligation shall survive termination of this Agreement.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal claim, you agree to attempt to resolve any dispute by emailing thomasraypublishing@gmail.com with a description of the dispute. You and Thomas Ray Publishing agree to use reasonable efforts to resolve the dispute informally within 30 days.

15.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the App, including the determination of the scope or applicability of this agreement to arbitrate, that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Clark County, Nevada, or another location agreed by the parties, with telephonic or video appearance permitted.

15.3 Class-Action Waiver

YOU AND THOMAS RAY PUBLISHING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

15.4 Small-Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small-claims court for claims within that court's jurisdiction.

15.5 Jury-Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT.

15.6 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to Thomas Ray Publishing LLC, c/o InCorp Services, Inc., 2360 Corporate Circle, Suite 400, Henderson, NV 89074-7722 within 30 days of first accepting these Terms. Your notice must include your name, address, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, the remaining terms of this Agreement continue to apply.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-laws principles.

Any legal action or proceeding not subject to binding arbitration shall be brought exclusively in the federal or state courts located in Clark County, Nevada, and the parties hereby consent to personal jurisdiction and venue therein.

Notwithstanding the foregoing, applicable mandatory consumer-protection laws of your jurisdiction may still apply to the extent required by law.

17. Apple-Required Provisions (Licensed Application EULA)

The following provisions are required by Apple for all apps distributed through the App Store:

17.1 Acknowledgement

You acknowledge that this Agreement is between you and Thomas Ray Publishing only, and not with Apple. Thomas Ray Publishing, not Apple, is solely responsible for Trade RC and its content.

17.2 Scope of License

The license granted to you is limited to a non-transferable license to use Trade RC on any Apple-branded device that you own or control and as permitted by the Usage Rules set forth in the App Store Terms of Service.

17.3 Maintenance and Support

Thomas Ray Publishing is solely responsible for providing any maintenance and support services with respect to Trade RC, as specified in this Agreement or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to Trade RC.

17.4 Warranty

Thomas Ray Publishing is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to Trade RC.

17.5 Product Claims

You acknowledge that Thomas Ray Publishing, not Apple, is responsible for addressing any claims you or any third party may have relating to Trade RC or your possession and use of the App, including but not limited to: (i) product-liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation.

17.6 Intellectual Property

In the event of any third-party claim that Trade RC or your possession and use of the App infringes a third party's intellectual property rights, Thomas Ray Publishing, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

17.7 Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

17.8 Third-Party Terms

You must comply with applicable third-party terms of agreement when using Trade RC.

17.9 Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

18. Export Compliance

You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. The App may not be exported or re-exported to any U.S.-embargoed countries or to anyone on the U.S. Treasury Department's Specially Designated Nationals list or the U.S. Department of Commerce's Denied Persons List or Entity List.

19. General Provisions

19.1 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and posting the revised Terms within the App and on our website. We will use commercially reasonable efforts to notify you of material changes in advance, including by surfacing a notice in-app on next launch. Your continued use of the App after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App.

19.2 Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Thomas Ray Publishing regarding the App and supersedes all prior agreements and understandings, whether written or oral.

19.3 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

19.4 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Thomas Ray Publishing's failure to assert any right or provision shall not constitute a waiver of such right or provision.

19.5 Assignment

You may not assign or transfer this Agreement without Thomas Ray Publishing's prior written consent. Thomas Ray Publishing may assign this Agreement without restriction.

19.6 Privacy Policy

Your use of the App is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please review it carefully.
